Introduction.
Welcome to Ticket Exchange, the digital platform ("website") that allows you to buy and sell e-tickets for events (concerts, parties, festivals, exhibitions...) ("tickets") in a ethical, simple, secure, economical and transparent manner. This document ("agreement") lists the terms and conditions of the agreement between the user ("you") and Ticket Exchange s.r.l. ("Ticket Exchange" or "we"), whose legal head office is located in via dei pini 2, 23887 Olgiate Molgora, Italy, for the purchasing and selling of tickets and other services provided by the website.
Ticket Exchange reserves the right to change the agreements. By using our website, you agree to accept this agreement and you are made subject to it. It is recommended to read it thoroughly to fully understand and accept its content.
Ticketing Exchange.
The website gives users the possibility to sell ("seller") or buy ("buyer") tickets. Ticket Exchange does not own the tickets or buys them to resell them. It is exclusively an intermediary site, therefore, transactions are secure.
Secure transactions.
The website applies the security protocol SSL so that the data is transferred in a secure way.
Sellers are sure to receive payment of the tickets sold and buyers are sure to be able to download the ticket as soon as the payment has been made.
Changes.
The following agreement could be subject to regular updates, and in case of modifications the updated version will be published replacing the previous one.The updated agreement will be automatically considered valid once published on the web site. If you use the website after the publication of the new version, you will honour and agree to its terms. If you are not willing to agree to its terms, we suggest not using the site.
To use the website it is required to accept the following agreement.
Registration and Privacy Policy.
To use the website, registration is required using a Facebook account. At the first transaction (buying or selling) it is necessary to complete a profile including the invoicing data. All the information must be accurate and it is forbidden to use a false name or address, or any other false information. If any data is modified, all changes must be immediately communicated as confidential data is protected by law regulations.

Price.
The seller decides the ticket price once the advertisement is created. To avoid speculations, scalping and to protect fans in the search of tickets, the established maximum price is of 130%, which is a 30% surplus on the actual price (commissions included). For example, if the price of the ticket is 50 euros, the ticket can be sold at 65 euros.
The maximum allowed price is visible while creating the advert; if a higher price is introduced the program will not allow the seller to proceed with the completing of the advert unless a lower price is inserted.
Cost.
Selling tickets is free of charge. A service cost will be applied once the tickets are sold. Service cost is 5% of the ticket price (incl. VAT).
Seller: Once the ticket is sold, the seller is charged a 5% service charge that will be deducted from his earnings for a total of 95% of the original price (If the price is 50 euros, instead of 50 euros the seller will earn 47.50 euros).
Buyer: the buyer is charged a 5% service charge that will be added to the selling price of the ticket (If the price is 50 euros, instead of 50 euros the seller will pay 52,50 euros). Extra costs will be charged according the type of payment chosen by the buyer.
VAT.
The sellers pay VAT when buying the ticket from official selling channel. In accordance with the provisions of Law, VAT is on us. It will be applied according to the seller’s or buyer’s country of residence by debiting it on the service cost.
This approach will not lead to further costs for the user as the sum this will be totally on us.
Seller.
Listing.
To sell a ticket the seller has to create a sales advert on our site and upload the digital PDF on the website. Only the original file can be uploaded which means only the one received by the provider or agency. Images, photos or screenshots will not be accepted.
When a ticket is uploaded to be sold, the seller has to guarantee the authenticity of it, supplying full details. This authorizes the seller to sell it or to assign it to a third party through the web site.
The seller can cancel his advert or modify the price at any time, a part from those already sold. Any modification is possible until the selling is confirmed; once the ticket has been sold or reserved and payment has to be confirmed so no further modifications are possible.
Selling on other websites.
The selling of the same ticket on more sites is forbidden. If so, the sales advert must be immediately removed from our website.
Ticket sold.
When a ticket is sold, the seller receives a mail of confirmation with all the details, and you must provide to eliminate the copy of the ticket in his/her possession. The sale advert will no longer be available on the website and it will be shown as sold in the personal area of the seller.
Seller's payment.
The seller will receive the payment 2 working days after the event, allowing us to verify with the buyer that everything has been done in the right way.
For sellers resident in a SEPA area, payment will be made through I-banking, whereas sellers not residents in a SEPA area will be paid through Paypal.
Unsold tickets.
If a ticket is not sold in time for the event, the sales advert will automatically be deleted, and it will be shown as expired in the seller’s personal area. In this case, the seller will not receive any payment on our behalf as we do not purchase the tickets but act only as an intermediary.
Cancelled sale.
We have the right to cancel the sale of a ticket if the conditions of the present agreement are not respected.
Buyer.
Tickets Purchasing.
The buyer can purchase the ticket using different methods of online payments. After the purchase, the ticket will directly be downloaded from the website and the buyer will receive a mail confirming the purchase containing a link from which it will be possible to download the ticket bought.
Definitive sales.
All the sales and the offers are definitive. Once payment has gone through and confirmed, the agreement between the buyer and the seller will be concluded; it will not be possible to annul the purchase.
Risks.
The purchasing of a ticket through the website can involve some risks despite we do what possible to guarantee secure transactions using certified methods of payment; However, we cannot fully guarantee that the ticket that is being purchased will give access to the event. We recommend buyers to check all the seller’s profiles and all the information contained so that higher security is guaranteed.
We suggest two secure methods that can resolve this problem:
- Every buyer, after the event,will receive an email with a link to leave a feedback on the seller; in the case a seller receives 3 negative (non valid tickets) feedbacks, his account will be deleted;
- Tightening partnerships with event planners, so that to annul the sold tickets and to produce new ones and therefore guarantee access to events.
Changes and annulment of the event.
We do not give information on the single events, and we are not responsible in case of date changes, delays or annulments of the events. For any refund, annulment or exchange the buyer must claim reimbursement directly to the event planner. (the original price of e-ticket, excluding service charges).
Invalid tickets.
The risks and any possible costs due to sales of non valid or fake ticket are on the seller and the buyer. It is not allowed to sell a fake, used or already sold tickets. If a buyer encounters problems with the tickets’ validity, we must be contacted and we will contact the seller to find a solution, a total or partial refund will be considered.
Should the seller not collaborate, he/she will not receive payment on our behalf, and we will reserve us the right to report the matter to the authorities so to completely delete his/her account.
If the seller collaborates to resolve the problem but problems still persists with his ticket sales, at the third attempt of selling invalid tickets, his account will be permanently deleted.
Personal use.
The website is to be considered for personal use, or to resell tickets for commercial purposes, guarantee that you are authorized.
Liability.
We are not responsible for possible damages which can occur during the use of this website. We are not responsible for the consequences of possible inaccuracies of the website. We have the right to limit its use or to interrupt (temporarily or permanently) the service of the website at any moment, with or without warning, without giving a valid declaration and without any right to the refund of the consequential damage from us. We are not in any way responsible towards you or third subjects for any changes or suspensions of the service.
We do not guarantee constant and nonstop access to the website, numerous elements out of our control can influence the functioning of the website. Furthermore, the site could be, at times, temporarily unavailable for updating or changes.
In any circumstances, we are responsible for additional costs that you face for the purchasing of tickets from third subjects, that, for any reason were not purchased on our site.
Tax indemnity.
We are not in any way responsible for the exactness and of the adequacy of the payment of taxes on your behalf. Besides, we are exonerated from any responsibility and indemnified from any expenses that derive from the local, regional, national and international fiscal obligations or due amounts under particular laws and rules, (ii) any dispute regarding our fiscal state.
No warranty.
Except for the express warranties stated in this agreement, we provide the website, software and services without any kinds of warranties. There are no guarantees on the services offered through the website, on the software and on the tickets, or that the sellers and the buyers respect the agreement. We do whatever possible to guarantee a secure and functional website, as well as secure transactions, yet, we cannot fully guarantee it. We will expressly refuse any blame (explicit or not) concerning poor quality, authorizations, respect of rights of third subjects or for a different use than the one stated on this agreement.
No agency.
No partnership, agency, joint venture, franchising, employer-employee is created by this agreement, you and we are independent contractor.
Third party information.
We do not control the information provided by other users which is made available through the website, and we remember you that there are risk of fraud. By using the website you accepts any risks and release us from any liabilities for acts committed by the website’s users.
Disclosure.
We have the right to divulge the information in our possession at any moment, with the purpose (i) to defend ourselves in court, (ii) to perform an order of the court, (iii) to respect all the laws, applications and government rules, (iv) to protect national security, the defense, the public health and the police and (v) to maintain and to defend our rights.
Laws and regulations.
You declare and you guarantee to respect all the laws (local, regional, country and international) related to the use of this website and to purchase and/or to sell tickets. Besides, you declare and you guarantee to be 18 years old and to have the ability to legally stipulate binding contracts. If you are under 18, you can exclusively use the website under the control of a parent or a guardian.
Misuse.
As a condition for using the website and its services, you represent and warrant that any information or content you provide us:
- Is not fraudulent and not breach any law;
- is true and not abusive, defamatory, threatening, misleading or obscene;
- does not involve the sale of fake tickets or from illegal origin;
- does not violate any third party's rights and privacy policy;
- does not purport fake relationship with a person;
- does not infringe any law (local, regional, country ed international);
- does not contain any virus, worm or other programme that interferes or seeks to interfere with our website or data;
- does not contain political campaigning, spam, chain letters, junk mail and offers or advertisement of any kind.
Users accept not to have access to restricted and protected areas of the website and do not test or scan the vulnerability of the website or the network, and do not violate the safety and the authentication of it.
If we suspect that you do not meet this agreement, we can refuse your access to the website effectively, immediately and permanently.
Disputes.
This agreement is governed by Italian low. Disputes will be submitted to the competent court in Lecco.
